As authorized by The NASDAQ Stock Market LLC (Exchange LLC) By-Laws, the Exchange LLC Board hereby establishes the Exchange LLC Finance Committee to advise the Exchange LLC Board with respect to the oversight of the financial operations and conditions of Exchange LLC, including recommendations for Exchange LLC's annual operating and capital budgets. Without limiting the generality of the foregoing, the Committee shall have the following powers and responsibilities:
Provide the Exchange LLC Board with advice with respect to its oversight of financial operations and conditions (e.g., capital position, tax structure).
Review and make recommendations to the Exchange LLC Board regarding the annual operating and capital budgets, including material modifications thereto.
Review and advise the Exchange LLC Board regarding proposed changes in the rates and fees.
Committee Composition
A minimum of three members of the Exchange LLC Board.
Term of Office
A Exchange LLC Finance Committee member shall hold office for a term of one year.
